General Terms and Conditions
Acceptance of Terms
By using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. Treble Solutions Pvt Ltd reserves the right to update and modify these terms at any time without prior notice.
Payment Terms
Payment terms for our services will be outlined in the project proposal or agreement. Payments are to be made according to the agreed-upon schedule. Failure to make payments may result in the suspension of services.
Copyrights and Trademarks
Treble Solutions Pvt Ltd retains ownership of all intellectual property rights, including copyrights and trademarks, associated with the services provided. Clients are granted a license to use the deliverables for their intended purpose.
Work Schedule and Completion Date
- Project timelines and completion dates will be agreed upon between Treble Solutions Pvt Ltd and the client. Delays caused by the client may impact the completion date, and Treble Solutions Pvt Ltd will not be held responsible for such delays.
- Treble will work expediently towards completing the project and specifications within a reasonable timeline. However, at its option, Treble may extend the due date by a period not exceeding 21 days by submitting written notice to the Client.
- If the project is delayed for above 30 calendar days after or without notice from the Client, Treble has the right to terminate the project and bill the Client for the work performed. Any prior payment by the Client is non-refundable.
- If a project is terminated, Treble has the right to bill the Client for the work performed. Any prior payment by the Client is non-refundable.
Any delay or non-performance of the quotation specifications beyond the reasonable control of the performing party shall not constitute a breach in contract, provided the delayed party has taken reasonable measures to notify the other party in writing.
Changes in Project Specifications
- Any changes in project specifications requested by the client after the commencement of the project may result in additional costs and timeline adjustments. Changes must be agreed upon in writing.
- Should the Client desire to amend specifications after both parties have accepted the quotation, the Client is required to submit a written request detailing the desired changes.
- Treble will review and submit a written response to the request within 5 working days.
The Client acknowledges that all changes from the quotation terms will result in revisions to the timeline and cost of the project.
Limited Liability
- Treble Solutions Pvt Ltd's liability for any claims arising from its services is limited to the total amount paid by the client for those services. We are not liable for any indirect, consequential, or incidental damages.
- In no event shall Treble be held responsible for any damages, including but not limited to loss of revenue or profit in any way arising out of services performed by Treble.
- Treble is not liable for any failure or delay resulting from physical impediments, national or industry-wide changes to business policies beyond the control of Treble.
Corporate Websites Terms & Conditions
In addition to the General Terms and Conditions, the following terms apply specifically to Corporate Websites projects:
Content Preparation
The client is responsible for providing all necessary content for the website, including text, images, and other media unless content creation is explicitly included in the project proposal.
Work Schedule and Completion Date
- In the event that the Client has a specific deadline to meet, this deadline will be written into the quotation specifications and additional loading fees will apply.
- A successful completion of a website requires cooperation from the Client, as we require information, contents and approval at various stages of the development work. During any stage, if we are unable to get response or support from the Client, we will send out a Weekly Reminder. The project will be put permanently on hold once we have sent out 3 reminders, and Treble will have the right to re-allocate resources when the Client is ready to restart the project. Treble also reserves the right to send out any invoices for work completed but put permanently on hold due to the Client’s non-support.
User Acceptance Testing
- Upon completion of the corporate website, the client is responsible for conducting user acceptance testing. Any issues or concerns must be communicated in writing within a specified timeframe.
Termination of Agreement
- Either party may terminate the agreement if the other party breaches the terms. Termination will be effective upon written notice.
- Notice of cancellation from the Client is required to be delivered in writing.
- There is a minimum cancellation fee equivalent to 20% of the total contract price should the Client opt to cancel the project after signing of contract. This takes into consideration the resources set aside by Treble as well as Administrative Work done, including Website Questionnaire and Invoice.
- Treble reserves the right to bill pro rata for work completed through the date of cancellation:
- $500 daily for design work.
- $500 daily for technical work.
- $500 daily for other services, including but not limited to copywriting and marketing.
E-commerce Terms & Conditions
In addition to the General Terms and Conditions, the following terms apply specifically to E-commerce projects:
Ambiguity and Managing Conflict
In case of any ambiguity or conflict in the terms, Treble Solutions Pvt Ltd reserves the right to interpret the terms in a manner that best accomplishes the original intent.
Payment Terms
Payment terms for E-commerce services may include details about transaction fees, recurring payments, and other financial aspects specific to E-commerce projects.
Code Ownership
- Should it be deemed necessary by the Client, the codes can be handed over at an additional cost for use once all previous invoices are fully settled, on the sole condition that the codes are utilized only for further development of the project.
- The code will not be re-sold or duplicated for other projects.;
User Acceptance Testing
- The client is responsible for thoroughly testing the E-commerce platform to ensure proper functionality and report any issues within a specified timeframe.
Payment Gateways
- Details about the integration of payment gateways, transaction processing, and security measures related to financial transactions.
- Depending on the project requirements, 3rd party payment gateways may be involved in building an Ecommerce website or application.
- Any unforeseen limitations of such 3rd party payment gateways are beyond the control of Treble. Treble will not be held responsible for any downtime of payment gateways.
- In no event shall Treble be held responsible for any damages, including but not limited to loss of revenue or profit in any way arising out of services performed by Treble.
- Treble is not liable for any failure or delay resulting from physical impediments, national or industry-wide changes to business policies beyond the control of Treble.
